【Prevention of Insider Trading Operational Overview】
In order to implement corporate governance and prevent insider trading, the Company has established internal regulations prohibiting insiders from trading in securities using unpublished information in the market. The regulations include controls on stock trading by insiders from the date the insiders are notified of the Company's financial reports or related results, including but not limited to directors, who are prohibited from trading in their shares during the closed periods of 30 days prior to the announcement of the annual financial report and 15 days prior to the announcement of each quarterly financial report.
※Control measures
E-mail or notification letters are sent to directors and insiders prior to the closing period of the annual quarterly financial report announcement to avoid inadvertent violation of this regulation by trading in the company's shares.
※Prevention of Insider Trading Education and Publicityaperiodically, directors and insiders are notified by e-mail or notification letter of the SEC's letter, "Frequently Reported Changes in Insider Shareholdings in Violation of the Securities and Exchange Act".
- At the time of the annual re-election of directors, the Board of Directors submitted the following materials to the Board of Directors: "Handbook on Directors and Supervisors Regulations", "Securities Market Regulations for Listed Companies, Their Directors, Supervisors, and Substantial Shareholders", "Handbook on Independent Directors Regulations", and "Laws and Regulations Related to Changes in Shareholdings of Insiders of the Company and Matters of Note for Implementation".
※The insiders are not allowed to trade in the company's marketable securities during the closed period of the financial report announcement in 2024.
